These Terms Of Use (the "Terms") explain the rules that apply when you access or use Wemorph, Wemorph Studio, the Wemorph mobile app, web app (app.wemorph.xyz), website (wemorph.xyz or www.wemorph.xyz), and any related products, features, tools, content, or services provided by us (collectively, the "Service").
Wemorph ("Wemorph", the "Team", "we", "us", or "our") is a South Korea-based team focused on creating and launching digital products. The Team is not incorporated as a legal entity but complies with all applicable South Korean laws and regulations.
By creating an account, purchasing a subscription, using Tokens, connecting a third-party platform, or otherwise accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

- Wemorph provides digital tools that may help users create, manage, schedule, publish, and analyze content across supported platforms.
- You are responsible for your account, your connected third-party accounts, and all content you create, upload, schedule, publish, or otherwise process through the Service.
- Some features may require an active subscription plan, Tokens, or both. Plan limits, Token usage, prices, and available features may change from time to time.
- The Service may integrate with third-party platforms such as Instagram, Facebook, TikTok, or other services. Your use of those platforms remains subject to their own terms, policies, API rules, and technical limitations.
- We do not guarantee that content will always be published successfully, that third-party platforms will remain available, or that any content will achieve specific marketing, reach, engagement, sales, or revenue results.
- We may suspend, restrict, or terminate access to the Service if these Terms are violated, if payment fails, if your usage creates risk for the Service or other users, or if required by law or third-party platform rules.
Service Overview
Wemorph Studio is a digital product that helps users create and manage social media marketing workflows. Depending on the features available under your plan, the Service may allow you to generate content ideas, create captions, upload media, schedule posts, publish content to connected platforms, review performance data, and manage related workflows.
We may add, remove, suspend, limit, or modify parts of the Service at any time. This may include changes to features, platform integrations, supported content types, analytics, scheduling behavior, Token usage, usage limits, pricing, or plan availability. We will make reasonable efforts to avoid unnecessary disruption, but we cannot guarantee that every feature will remain available permanently.
Eligibility
You must be at least 18 years old to use the Service. By using the Service, you represent that you are legally able to enter into these Terms and that your use of the Service complies with all applicable laws and regulations.
If you use the Service on behalf of a business, organization, client, or other entity, you represent that you have the authority to connect accounts, upload content, publish content, purchase subscriptions, use Tokens, and accept these Terms on behalf of that business, organization, client, or entity.
Accounts and Security
To use certain features, you may need to create an account or sign in through a supported authentication provider. You agree to provide accurate and current information and to keep your account information up to date.
You are responsible for maintaining the security of your account, devices, login credentials, connected platforms, and any activity that occurs under your account. If you believe your account has been accessed without authorization, please contact us promptly at gm@wemorph.xyz.
You must not share access to your account in a way that violates these Terms, bypasses plan limits, or allows unauthorized use of the Service.
Subscriptions, Plans, and Billing
Some features of the Service may require a paid subscription plan. The features, limits, prices, billing cycles, and Token allowances associated with each plan may be shown on our pricing page, inside the Service, or during checkout.
By purchasing a subscription, you authorize Wemorph and our payment processor to charge the applicable subscription fees, taxes, and any other amounts disclosed to you at checkout or in your account settings. Subscription plans may renew automatically unless you cancel before the next renewal date.
If a subscription payment fails, we may suspend, restrict, or terminate access to paid features until payment is completed. We may also limit access to content, scheduled posts, publishing features, analytics, or connected account functionality while payment remains unresolved.
You may cancel your subscription through your account settings if this option is available, or by contacting us at gm@wemorph.xyz. Unless otherwise stated during checkout or required by applicable law, cancellation takes effect at the end of the current billing period, and you will retain access to your paid plan until that period ends.
Tokens
Certain features may consume Tokens. Tokens may be included in a subscription plan, provided as part of a promotion, or purchased separately if we make Token purchases available.
Tokens are a usage unit for the Service. They are not money, stored value, legal tender, cryptocurrency, or property. They cannot be exchanged for cash, transferred outside the Service, sold, or redeemed except for eligible features inside the Service.
Tokens may expire, reset, or be forfeited depending on the plan, promotion, or product rules shown to you. Subscription plan Tokens may reset at the beginning of each billing cycle and may not roll over unless we expressly state otherwise.
We may change how many Tokens are required for certain features if product costs, third-party provider costs, or feature behavior changes. We will make reasonable efforts to communicate material Token-related changes that affect active paid users.
Free Trials, Promotions, Upgrades, and Downgrades
We may offer free trials, discounted plans, promotional Tokens, or other limited offers. Eligibility for these offers is determined by us and may be changed or discontinued at any time.
If you start a paid subscription after a free trial or promotion, the applicable fees will be charged according to the checkout terms shown to you. If you do not continue with a paid subscription, your account may be moved to a limited or restricted state.
If you upgrade your plan, the change may take effect immediately, and you may be charged a prorated amount or other applicable amount shown at checkout. If you downgrade your plan, the downgrade may take effect at the end of the current billing period unless otherwise stated.
Refunds
Except where required by applicable law or expressly stated by us in writing, payments are non-refundable. This includes subscription fees, Token purchases, add-ons, and any other paid features.
We do not provide refunds or credits for partially used billing periods, unused Tokens, unused features, account inactivity, accidental purchases, downgrade requests, or cancellation after a subscription has renewed, unless required by applicable law.
License to Use the Service
Subject to your ongoing compliance with these Terms, Wemorph grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Service for your own business, personal, or authorized client purposes.
You must not copy, modify, reverse engineer, resell, lease, distribute, interfere with, scrape, overload, or create derivative works based on the Service, except where expressly permitted by us or by applicable law.
Ownership and Intellectual Property
Wemorph and its licensors own all rights, title, and interest in the Service, including software, design, interfaces, workflows, templates, systems, documentation, branding, and other materials provided by or through the Service.
These Terms do not transfer ownership of the Service or any Wemorph intellectual property to you. All rights not expressly granted to you are reserved by Wemorph.
If you provide feedback, suggestions, bug reports, feature ideas, or other comments about the Service, you allow us to use that feedback without restriction or compensation to you.
User Content
You retain ownership of content that you submit, upload, generate, schedule, publish, or otherwise process through the Service, including text, captions, images, videos, audio, files, prompts, brand information, campaign information, and social media content ("User Content").
You grant Wemorph a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, format, transmit, display, and use your User Content only as needed to provide, maintain, secure, and improve the Service, including publishing content to connected third-party platforms when you request or schedule that action.
You represent and warrant that you have all rights, licenses, permissions, and consents required to use your User Content with the Service and to publish it to any connected third-party platform. This includes rights related to images, videos, music, audio, logos, trademarks, personal likeness, customer reviews, testimonials, and any third-party materials included in your content.
You are solely responsible for reviewing and approving any content before it is published. AI-generated suggestions, captions, recommendations, or analytics are provided as tools and may be inaccurate, incomplete, unsuitable, or inappropriate for your brand, audience, or legal obligations.
Third-Party Platforms and Services
The Service may allow you to connect accounts or publish content to third-party platforms such as Instagram, Facebook, TikTok, or other services. By connecting a third-party account, you authorize Wemorph to access, process, send, receive, and publish information through that platform only as necessary to provide the features you use.
Third-party platforms are not controlled by Wemorph. We are not responsible for their availability, API changes, review processes, account restrictions, content moderation decisions, policy enforcement, data handling, outages, rate limits, or feature limitations.
Your use of each third-party platform remains subject to that platform's own terms, policies, community standards, developer rules, advertising rules, and API requirements. You are responsible for ensuring that your use of the Service complies with those third-party rules.
If a third-party platform changes or restricts its API, permissions, review process, or policies, some Service features may stop working, become delayed, or require changes. We are not liable for losses caused by third-party platform changes, outages, restrictions, or enforcement actions.
Publishing, Scheduling, and Analytics
The Service may allow you to schedule content for future publication. Scheduled publishing depends on many factors, including third-party platform availability, valid account permissions, media format compatibility, access token validity, system availability, API rate limits, and your plan limits.
We do not guarantee that scheduled content will always publish at the exact scheduled time or publish successfully. You are responsible for monitoring scheduled content, reviewing publishing results, and confirming that published content appears correctly on the intended platform.
Analytics, insights, views, engagement, conversion data, follower data, and similar metrics may be delayed, estimated, incomplete, unavailable, or different from numbers shown directly inside third-party platforms. These metrics are provided for informational purposes and should not be treated as guaranteed, audited, or complete business records.
Prohibited Conduct
By using the Service, you agree not to:
- Use the Service for any illegal, harmful, deceptive, fraudulent, abusive, or unauthorized purpose.
- Upload, generate, schedule, publish, or promote content that violates any law, third-party right, or platform policy.
- Infringe, misappropriate, or violate intellectual property rights, privacy rights, publicity rights, contract rights, or any other rights of another person or organization.
- Publish or attempt to publish hateful, harassing, threatening, sexually exploitative, violent, misleading, defamatory, or otherwise harmful content.
- Use the Service to impersonate another person, misrepresent affiliation, manipulate engagement, spam users, or artificially inflate metrics.
- Attempt to bypass plan limits, Token limits, access controls, security controls, rate limits, or technical restrictions.
- Interfere with or disrupt the Service, including by uploading malicious code, overloading infrastructure, scraping, probing, reverse engineering, or using unauthorized automated tools.
- Use the Service in a way that could cause Wemorph to violate laws, regulations, or third-party platform rules.
Child Safety
We do not permit the Service to be used for any activity involving child sexual abuse, exploitation, grooming, trafficking, or the creation, sharing, promotion, or facilitation of related content. We may suspend accounts, remove content, preserve relevant information, and report suspected violations to appropriate authorities where required or permitted by law.

Content Review and Enforcement
We are not obligated to monitor all User Content, but we may review, remove, block, restrict, or disable access to content or accounts if we believe there is a violation of these Terms, applicable law, third-party rights, platform rules, or safety standards.
We may also suspend or limit features where content, connected accounts, usage patterns, payment issues, or third-party platform actions create legal, security, operational, reputational, or policy risk.
Intellectual Property Complaints
We respect intellectual property rights. If you believe content available through the Service infringes your rights, please contact us at gm@wemorph.xyz with enough information for us to understand the claim, identify the relevant content, and contact you.
Your notice should include your name, contact information, a description of the protected work or right, the location or identifier of the allegedly infringing content, and a statement explaining why you believe the use is unauthorized.
We may remove or restrict content that we believe may infringe third-party rights and may suspend or terminate accounts that repeatedly or seriously violate intellectual property rights.
Termination
These Terms remain in effect until terminated by you or us. You may stop using the Service at any time. If account deletion or cancellation tools are available in the Service, you may use them; otherwise, you may contact us at gm@wemorph.xyz.
We may suspend or terminate your access to the Service at any time if you violate these Terms, fail to pay amounts due, create risk for the Service or other users, misuse Tokens, violate third-party platform rules, or if we are required to do so by law or by a third-party platform.
After termination, your right to access and use the Service will end. You may lose access to User Content, scheduled content, connected accounts, analytics, Tokens, and other account data. You are responsible for keeping your own copies of content that you need to retain.
Disclaimers
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Wemorph disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and reliability.
We do not guarantee that the Service will be uninterrupted, secure, error-free, compatible with every platform, or free of harmful components. We also do not guarantee any specific marketing result, follower growth, view count, engagement rate, conversion rate, revenue increase, or business outcome.
Limitation of Liability
To the fullest extent permitted by applicable law, Wemorph will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business opportunity, goodwill, data, content, or platform access, arising out of or related to your use of the Service.
To the fullest extent permitted by applicable law, Wemorph's total liability for any claim arising out of or relating to these Terms or the Service will be limited to the amount you paid to Wemorph for the Service during the three months before the event giving rise to the claim.
Indemnity
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Wemorph and its team members, collaborators, contractors, and service providers from and against claims, damages, liabilities, losses, and expenses arising out of or related to your use of the Service, your User Content, your connected accounts, your violation of these Terms, your violation of applicable law, your violation of third-party platform rules, or your infringement of another person's rights.
Governing Law and Disputes
These Terms are governed by the laws of the Republic of Korea, without regard to conflict of law principles, unless applicable consumer protection laws require otherwise.
Before starting a formal dispute, you agree to contact us at gm@wemorph.xyz and attempt to resolve the issue in good faith. If a dispute cannot be resolved informally, it will be handled by the competent courts or dispute resolution bodies available under applicable law.
Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify users, such as posting an updated version in the Service or providing notice through other reasonable means.
Your continued use of the Service after updated Terms become effective means that you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
Additional Terms
Certain features, plans, promotions, integrations, beta features, or third-party services may be subject to additional terms or rules. If additional terms apply, they will become part of these Terms for the relevant feature or service.
